Introduction

This is a legal agreement between you and GlassBox Verification Services, LLC dba GlassBox Verified, an Arizona limited liability company (“GlassBox”), which may be contacted at 1801 E Camelback Rd, Suite 201, Phoenix, AZ 85016.

By accessing this website, and any sub-sites of this website (together the “Site”), and/or using any of the Services (as defined below) accessible though the Site, you become a user and agree to, and are bound by, the terms and conditions of this agreement and the GlassBox Privacy Policy (collectively, “Terms”) for as long as you continue to use the Site or Services. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS, DO NOT USE THE SITE OR THE SERVICES.

Your use of, or participation in, certain Services (such as our "Authorized Capital Advisor" program) may be subject to additional terms, such as a Master Services Agreement (MSA) or Quote, and such terms will be presented to you for your acceptance when you sign up to use such Services.

THESE TERMS STATE THAT ANY DISPUTES BETWEEN YOU AND GLASSBOX MUST BE RESOLVED IN BINDING ARBITRATION, THAT YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, AND THAT THE LAW OF THE STATE OF ARIZONA APPLIES TO ALL INTERACTIONS BETWEEN YOU AND GLASSBOX.

1. Description of Services

GlassBox operates a Capital Advisory Infrastructure Platform (the “Services”).

  • For Advisors: GlassBox provides software, document verification, and Third-Party Originator (TPO) services that allow business advisors to offer commercial financing to their clients.

  • For Borrowers: GlassBox facilitates the intake, packaging, and routing of loan applications to our network of banks, credit unions, and commercial lenders (the “Lender Network”).

GlassBox is not a lender and does not make credit decisions. GlassBox assists Advisors and Business Owners in identifying funding types and specific Funder(s) that may offer the business an opportunity to acquire a business loan. GlassBox reserves the right to cancel or modify a portion of any of our Services at any time.

2. Use of Site and Service

As a user of the Site or a user registered to use any of the Services (a “Registered User”), you agree to the following:

  • Exclusive Use: Your account is to be used only by you and for your business needs. You may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity.

  • Information Submitted: You are solely responsible for (i) the information and content you provide through your use of the Site, (ii) the information you make available regarding your business or your client's business, and (iii) your interaction with third-parties.

  • Risk Assumption: You assume all risk when using the Services, including risks associated with interactions with lenders to which you are matched or routed.

  • No Guarantees: GlassBox does not guarantee that any Borrower will be matched with a lender, nor does it guarantee that a loan will be funded. Funding outcomes are subject to the sole discretion of the Lenders in our network.

  • No False Information: You agree to provide accurate, true, current, and complete information. If GlassBox determines that information provided is fraudulent, false, or misleading, we reserve the right to terminate your access immediately and report such activity to relevant authorities.

  • Business Purpose Only: You agree to use the Site or Services only for bona fide commercial business purposes. You agree not to use the Site or Services for personal, family, or household purposes.

3. Intellectual Property Rights

  • Ownership of Platform: You acknowledge that GlassBox is the owner of all rights in and to the Site, Services, software, underlying code, intake workflows, and verification algorithms. Even if you utilize our "White-Label" features, the underlying infrastructure remains the sole property of GlassBox.

  • No Reverse Engineering: You may not copy, reproduce, distribute, create derivative works, reverse engineer, or reverse compile any of the Site or Services or technology.

  • License to Provided Content: By uploading client data or documents to the Data Room or Intake Forms, you grant GlassBox a license to use, reproduce, and distribute such information solely for the purpose of providing the Services (e.g., verifying documents and routing them to lenders).

4. Links to Third Party Websites

The Site may contain links to websites of third-parties, including lenders, which are not under the control of GlassBox. GlassBox is not responsible for the content or privacy practices of any linked site. Your dealings with third-parties found on or through the Site are solely between you and such third-party.

5. Disclaimer of Warranty

THIS SECTION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

GLASSBOX PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

GLASSBOX DOES NOT WARRANT THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE. GLASSBOX DOES NOT GUARANTEE ANY FUNDING OUTCOME. OPINIONS, ADVICE, OR STATEMENTS MADE BY THIRD PARTIES (INCLUDING LENDERS) ARE THOSE OF THEIR RESPECTIVE AUTHORS, AND GLASSBOX ACCEPTS NO RESPONSIBILITY FOR THEM.

6. Limitation of Liability

IN NO EVENT WILL GLASSBOX BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF GLASSBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES WILL GLASSBOX’S AGGREGATE LIABILITY EXCEED THE PRICE PAID BY YOU FOR YOUR SUBSCRIPTION IN THE THREE (3) MONTHS PRIOR TO THE CLAIM, OR, IF YOU HAVE NOT PAID GLASSBOX, THE AMOUNT OF USD $100.00.

Information Verification: GlassBox uses various methods to verify information (e.g., bank connection, tax transcripts). However, no method is perfect. You agree that GlassBox will have no liability to you arising from any incorrectly verified information. Verification services are limited to data formatting and document completeness checks only. GlassBox does not audit, certify, or guarantee the authenticity of underlying financial data.

7. Indemnification

You agree to indemnify, defend and hold harmless GlassBox, its officers, directors, employees, and agents from any losses, costs, liabilities and expenses (including attorney fees) relating to or arising out of: (i) your use of the Site or Services; (ii) any data you submit; (iii) your violation of these Terms; (iv) your violation of any third-party rights; or (v) any claim that your use of the Services violated applicable lending or banking laws.

8. User Information & Privacy

For information about the collection and use of your information, please visit the GlassBox Privacy Policy. By using the Site, you consent to the terms of the Privacy Policy. You acknowledge that GlassBox may disclose information if required by law or to protect GlassBox’s rights.

9. Restrictions

You may not:

  • Use the Services as a money services business or payment aggregator.

  • Resell the Services (unless you are an authorized White-Label Partner under a separate MSA).

  • Abuse the Services or use them to perpetrate fraud.

  • Circumvent GlassBox to conduct business directly with Lenders introduced through the Platform.

10. Dispute Resolution by Binding Arbitration

Jurisdiction: Arizona

Venue: Maricopa County

In the interest of resolving disputes efficiently, you and GlassBox agree that any dispute shall be resolved through binding arbitration instead of in courts of general jurisdiction. Arbitration will be conducted in Phoenix, Arizona under the Commercial Dispute Resolution Procedures of the American Arbitration Association (AAA).

Class Action Waiver: YOU AND GLASSBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.

Opt-Out: New users may opt-out of this arbitration agreement by mailing a written Opt-Out Notice to GlassBox at our Phoenix address within 30 days of first accepting these Terms.

11. Telephone Communications & TCPA Consent

Consent to Contact: By providing your telephone number, you expressly consent to receive artificial voices, prerecorded voice messages, and/or autodialed calls and text messages (SMS/MMS) from GlassBox and its partners related to your account, loan applications, or relationship with GlassBox.

Opt-Out: You may opt-out of text messages by replying STOP to any message. You may opt-out of automated voice calls by sending a written notice to legal@glassboxverified.com.

Fees: Message and data rates may apply.

12. General Provisions

  • Controlling Law: You agree that Arizona law will govern these Terms and that any dispute will be subject to the exclusive jurisdiction of the federal and state courts in Maricopa County, Arizona.

  • Entire Agreement: These Terms, along with the Privacy Policy and any applicable Master Services Agreement (MSA) or Quote, comprise the entire agreement between you and GlassBox.

  • Severability: If any provision is held invalid, the remainder of the Terms continues in full force.

  • Statute of Limitations: Any claim arising out of the Site or Terms must be filed within one (1) year after such claim arose.

13. Confidentiality

We take reasonable precautions to protect your account information. However, you acknowledge that you share account information at your own risk. If you are an Advisor sharing client data, you represent that you have obtained all necessary consents from your client to share their data with GlassBox and our Lender Network.

14. Term and Termination

This agreement is effective upon your use of the Site. GlassBox may terminate your account at any time, for any reason. Upon termination, your right to use the Services will immediately cease. If you are a paying subscriber, termination provisions regarding fees and refunds will be governed by your specific Master Services Agreement (MSA) or Quote.

15. Changes to Terms

GlassBox may update these Terms at any time. Material changes will be notified via email or a notice on the Site. Your continued use of the Site constitutes acceptance of the new Terms.
